Melmed Law Group P.C. is seeking an experienced employment attorney with deep expertise in equity compensation litigation, including stock options, RSUs, vesting schedules, change in control provisions, common stock vs. preferred stock structures, stock tiers, and equity buyback disputes. This role is ideal for a litigator who has consistently advocated for employees-not employers-in complex compensation disputes, particularly in high-stakes severance negotiations, post-termination equity issues, and startup compensation matters.
What You'll Do:
Represent employees in disputes involving equity compensation, including stock options, RSUs, common stock, preferred stock, and multi-tier equity plans.
Analyze and litigate plan terms involving change in control, double-trigger acceleration, cliff vesting, dilution, and liquidation preferences.
Handle all phases of litigation-pre-litigation evaluation, negotiation, discovery, motion practice, mediation, and trial if necessary.
Operate largely unsupervised with regular oversight and support from firm management, and be expected to independently manage your own caseload and litigation team.
Requirements :
Minimum 5 years of litigation experience focused on equity compensation or executive compensation, on behalf of employees.
Deep understanding of stock option plans, RSUs, common vs. preferred stock, equity tiers, and change in control scenarios.
Proven ability to take cases from intake through resolution with minimal supervision.
Exceptional legal research, writing, advocacy, and negotiation skills.
Nice to Have:
Experience representing tech employees, startup executives, or professionals impacted by funding rounds, acquisitions, or equity restructuring.
Familiarity with California employment law and complex compensation contracts.
Compensation:
Range of $150k-$195k plus a non-discretionary flat percentage of fees generated. Remote flexibility available.
