    Location: New York, NY
    Compensation: $260,000–$310,000 + discretionary bonus

    Direct Counsel is seeking a Capital Markets Associate to join the New York office of a prestigious Am Law firm. This opportunity is ideal for an attorney with 2–3 years of capital markets experience who is looking to work on sophisticated debt and equity offerings for public companies, financial institutions, and other market participants.

    The ideal candidate has experience advising clients on public and private securities offerings, SEC reporting obligations, and corporate governance matters within a leading corporate practice.

    ResponsibilitiesRepresent issuers, underwriters, and other market participants in public and private capital markets transactions.Advise clients on debt offerings, including investment-grade and high-yield debt issuances.Represent clients in equity offerings, including IPOs, follow-on offerings, and private placements.Assist public company clients with ongoing SEC reporting and disclosure obligations.Counsel clients on corporate governance, securities law compliance, and general corporate matters.Draft and review offering documents, registration statements, underwriting agreements, purchase agreements, and related transaction documents.Coordinate due diligence, transaction execution, and closing processes while collaborating with multidisciplinary deal teams.Build strong client relationships while delivering practical, business-focused legal advice.QualificationsJ.D. from an ABA-accredited law school with strong academic credentials.2–3 years of capital markets experience at a leading law firm.Experience with debt capital markets, including high-yield and investment-grade offerings.Experience with equity capital markets transactions, including public and private offerings.Familiarity with SEC reporting requirements, public company disclosure obligations, and corporate governance matters.Excellent drafting, analytical, negotiation, and communication skills.Strong organizational and project management abilities with the capacity to manage multiple sophisticated transactions simultaneously.Active membership in the New York Bar or eligibility for admission.Compensation & BenefitsCompetitive base salary of $260,000–$310,000, depending on experience.Eligibility for a discretionary year-end bonus.Hybrid work environment with a structured in-office collaboration model and remote work flexibility.Comprehensive benefits package, robust mentorship, professional development programs, and extensive opportunities for pro bono work and long-term career advancement within a nationally recognized capital markets practice.
