    Job DescriptionJob Description

    Shulman Rogers is seeking a Litigation Attorney with 5+ years of experience to join its Baltimore office. This role focuses on complex commercial litigation and construction law, including disputes involving contracts, mechanics liens, delays, defects, and high-stakes business matters. The ideal candidate can independently manage cases from pre-suit through trial, including motion practice, depositions, and discovery, while contributing to case strategy and client advocacy.

    Responsibilities:

    Handle all phases of litigation, including discovery, depositions, and motion practice.Draft pleadings, briefs, and other legal documents.Represent clients in hearings, mediations, and other proceedings.Manage case strategy, deadlines, and client communications.Assist with trial preparation and collaborate with internal teams.

    Qualifications:

    J.D. and admission to the Maryland Bar (DC/VA a plus).5+ years of commercial litigation experience, with construction law preferred.Strong writing, analytical, and communication skills.Experience with depositions, motions, and discovery management.Ability to manage multiple matters independently.

This position will work directly with founders building new start-up companies and investors investing in those companies.

    PRIMARY DUTIES AND RESPONSIBILITIES:

    Draft and manage equity and incentive compensation plans, including stock options and restricted stock units for employees and founders.Draft and negotiate commercial agreements, including vendor, licensing, and intellectual property assignment contracts.Advise founders on entity selection, formation, and organizational structuring.Lead, structure, and negotiate financing transactions, including Seed and Series A venture rounds, convertible notes, and SAFEs.

    QUALIFICATIONS AND SKILLS:

    J.D. from an accredited law school.4+ years of experience representing clients in business transactions, particularly in M&A, private equity, venture capital, and finance.Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.Strong understanding of SAFEs, Convertible Notes, and NVCA Financing Documents
